"Agreement" denotes the collective arrangement formed by these terms, any signed service proposal, and any supplementary documents mutually accepted by both parties. "Content" covers all text, reports, documentation, test results, dashboards, and materials produced during an engagement. "Website" refers to the pages hosted at https://prismars.pro.
2. Acceptance of Terms
By accessing this website, submitting an enquiry form, or entering into a service agreement with prismars.pro, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you are engaging our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. You must be at least 18 years of age to use our services. We reserve the right to update these terms at any point, and continued use of the website or services after changes have been published constitutes acceptance of the revised terms.
3. Service Description
prismars.pro provides AI quality assurance programs, adversarial robustness testing engagements, and AI monitoring and observability setup services. Each engagement is scoped individually and documented in a service proposal that outlines deliverables, timelines, and pricing. Our services are primarily available to organisations operating within Malaysia and the broader Southeast Asian region, though we may accept international engagements on a case-by-case basis. Service availability is subject to current team capacity and scheduling.
4. User Responsibilities
When using our website, you agree to provide accurate and complete information in any forms you submit. You must not attempt to gain unauthorised access to any portion of the site, its servers, or connected systems. You agree not to use any automated means — including bots, scrapers, or crawlers — to access or collect data from the website without prior written permission.
When engaging our services, you are responsible for providing timely access to the AI systems, data, and infrastructure required for the engagement. You agree to assign an internal point of contact who can answer questions and facilitate access. Any delays caused by late provision of access or resources may affect engagement timelines without liability on our part.
5. Intellectual Property
All content on the prismars.pro website — including text, graphics, logos, and page layouts — is the property of prismars.pro and is protected under Malaysian intellectual property laws. You may not reproduce, distribute, or create derivative works from any website content without written consent.
For service engagements, deliverables produced specifically for a client — such as test reports, vulnerability assessments, and monitoring dashboards — become the client's property upon full payment. However, prismars.pro retains ownership of its underlying methodologies, testing frameworks, proprietary tools, and any pre-existing intellectual property used during the engagement. We grant a non-exclusive, non-transferable licence for clients to use these underlying components solely in connection with the deliverables provided.
6. Payment Terms
Service fees are denominated in Malaysian Ringgit (RM) unless otherwise specified in a service proposal. Standard engagement pricing is listed on our website, though final pricing may vary based on project scope determined during initial assessment. We typically require a deposit before work begins, with the balance due upon delivery of final deliverables. Exact payment schedules are documented in the individual service proposal.
Invoices are payable within 14 days of issue unless alternative terms have been agreed in writing. Late payments may incur an administrative charge of 1.5% per month on the outstanding balance. We accept bank transfer and corporate cheque payments. Refund requests are evaluated individually — if an engagement has not commenced, a full refund of the deposit may be issued. Once work has begun, refunds are prorated based on the portion of work completed.
7. Service-Specific Terms
AI Quality Assurance Program: This engagement typically spans 6 to 10 weeks, depending on the number and complexity of AI systems under review. The scope is defined in the service proposal. Additional systems or expanded scope beyond the original agreement may require a change order with adjusted pricing and timelines.
Adversarial Robustness Testing: Testing is conducted within the boundaries agreed upon in the service proposal. prismars.pro will not perform any testing that could disrupt production systems unless explicitly authorised. All identified vulnerabilities are reported through a structured disclosure process. We expect clients to treat vulnerability reports as confidential.
AI Monitoring & Observability Setup: This service includes dashboard creation, alert configuration, and team training. Ongoing maintenance of monitoring systems after handover is the client's responsibility, unless a separate maintenance agreement is established.
8. Confidentiality
Both parties agree to treat all non-public information shared during the engagement as confidential. This includes client data, AI model details, system architectures, business processes, and engagement deliverables. We sign a non-disclosure agreement prior to any engagement where confidential information will be exchanged. Confidentiality obligations survive the termination of the service agreement for a period of three years.
9. Disclaimers
Our services are provided on an "as is" basis. While we employ rigorous testing methodologies and industry-accepted practices, we do not warrant that our testing will identify every possible defect, vulnerability, or failure mode in your AI systems. AI system behaviour can be inherently unpredictable, and our assessments represent a structured evaluation at a specific point in time.

10. Limitation of Liability
To the maximum extent permitted by Malaysian law, prismars.pro's total liability arising from or related to any engagement shall not exceed the total fees paid by the client for that specific engagement. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunity — regardless of whether we were advised of the possibility of such damages.
Neither party shall be liable for failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, government actions, internet outages, pandemics, or utility failures.
11. Indemnification
You agree to indemnify and hold harmless prismars.pro, its directors, employees, and contractors from any claims, damages, losses, or expenses — including reasonable legal fees — arising out of your breach of these terms, your misuse of deliverables, or your violation of any applicable law or regulation.
12. Termination
Either party may terminate a service engagement by providing written notice as specified in the service proposal. If a client terminates an engagement after work has commenced, fees for completed work and any non-recoverable costs are due. prismars.pro may terminate an engagement immediately if the client breaches confidentiality obligations, fails to provide required access for more than 15 business days, or engages in conduct that compromises the safety or integrity of our team or tools.
Upon termination, each party will return or destroy the other's confidential information, and the client will receive all deliverables completed up to the termination date. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination.
13. Dispute Resolution
These terms are governed by and construed in accordance with the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the matter is not resolved within 30 days, either party may initiate mediation through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. Any proceedings not resolved through mediation may be submitted to the courts of Malaysia, and both parties consent to the jurisdiction of those courts.
14. General Provisions
These Terms & Conditions, together with any applicable service proposal, constitute the entire agreement between you and prismars.pro. If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. A failure by either party to enforce any right or provision shall not constitute a waiver of that right or provision. prismars.pro may not assign its obligations without the client's written consent, except in connection with a merger, acquisition, or sale of substantially all of its assets. Any notices required under these terms should be sent via email to the addresses specified in the relevant service proposal or to the contacts listed below.
15. Changes to Terms
We may revise these Terms & Conditions from time to time to reflect changes in our services, legal requirements, or operational practices. The "Last Updated" date at the top of this page indicates when the most recent changes were published. For active service engagements, material changes will be communicated directly to the client. Continued use of the website after the publication of revised terms constitutes acceptance of those changes.
